Capital at Risk — Read Before Investing

Investing in real estate through the Amantius platform involves significant financial risk. The value of your investment can fall as well as rise, and you may receive back less than the amount you originally invested. Past performance is not a reliable guide to future results. Do not invest money you cannot afford to lose. Always seek independent financial advice before making any investment decision.

General Investment Risk

All investments carry risk, and real estate investment is no exception. You should carefully consider whether investing through the Amantius platform is appropriate for your financial circumstances, investment objectives, and risk tolerance before committing any funds.

  • The value of your ownership shares may decrease as well as increase over time.
  • Rental income is not guaranteed and may be lower than projected or cease entirely during void periods, renovations, or exceptional events.
  • You may recover less than your original investment upon exit, particularly if market conditions deteriorate or you need to exit before the optimal time.
  • Returns are not guaranteed, and projected figures in marketing materials are illustrative estimates only.

Property Market Risk

The real estate market in Dubai and other Amantius portfolio locations is subject to significant fluctuation and is influenced by numerous factors beyond Amantius's control, including:

  • Supply and Demand: New property supply entering the market can depress rental rates and capital values.
  • Economic Conditions: Regional and global economic downturns can reduce demand for premium residential and holiday properties.
  • Tourism & Seasonal Factors: Properties serving short-term rental and travel markets are exposed to seasonality and shifts in travel demand.
  • Interest Rate Changes: Rising interest rates can dampen property valuations and reduce the attractiveness of property as an asset class.
  • Geopolitical Events: Regional instability, sanctions, or global events may materially affect demand and property values in specific markets.

Property investments are illiquid relative to many other asset classes. The market for fractional ownership shares is less developed than traditional real estate markets, and conditions can change rapidly.

Liquidity Risk

Fractional property ownership shares are significantly less liquid than publicly traded securities. You should be prepared to hold your investment for the medium to long term and not invest funds that you may need at short notice.

  • Shares are subject to a lock-up period after initial purchase during which they cannot be sold or transferred.
  • The Amantius secondary market is an emerging marketplace and does not guarantee that a buyer will be available at the price you seek, or at all.
  • In adverse market conditions, it may be impossible to exit your investment at a reasonable price for an extended period.
  • Amantius does not offer a guaranteed buyback facility or liquidity mechanism.
  • A portfolio-level sale requires approval of a supermajority of owners, which may not always be achievable.

Currency & Exchange Rate Risk

Amantius properties are primarily valued and operated in UAE Dirhams (AED). If your home currency differs from AED, you are exposed to exchange rate risk. Currency fluctuations can:

  • Increase or decrease the effective cost of your initial investment when converted to AED.
  • Affect the value of rental income and capital distributions when converted back to your home currency.
  • Create a situation where, even if the property performs well in AED terms, your returns in your home currency are reduced or negative due to currency depreciation.

While the AED is pegged to the USD, other currencies in which investors may be based can fluctuate significantly against this peg. Amantius does not offer currency hedging services, and you are responsible for managing your own currency exposure.

Regulatory Risk

The legal and regulatory environment governing real estate, tokenised assets, and investment platforms is evolving rapidly in both the UAE and globally. Changes in regulation may materially affect the Amantius platform and the value or transferability of ownership shares.

  • New legislation relating to NFTs, digital assets, or fractional property ownership could impose additional compliance requirements or restrict the platform's operations.
  • Changes to foreign ownership laws in the UAE or specific emirates could affect the ownership rights of non-UAE nationals.
  • Regulatory action in your home country relating to overseas real estate investment or digital assets could restrict your ability to hold or transfer shares.
  • Tax law changes in any relevant jurisdiction could increase your tax liability on rental income, capital gains, or asset transfers.
  • Amantius may be required to make changes to its products, structure, or operations to comply with new requirements, potentially affecting your investment terms.

Technology & Blockchain Risk

The Amantius platform relies on digital technology, smart contracts, and blockchain infrastructure. These technologies carry specific risks that are distinct from traditional real estate investment:

  • Smart Contract Vulnerabilities: Despite third-party audits, smart contracts may contain bugs or vulnerabilities that could be exploited, potentially resulting in loss of NFT ownership records or funds.
  • Blockchain Network Risk: The underlying blockchain network could suffer outages, hard forks, or become deprecated, affecting the transferability or value of ownership NFTs.
  • Wallet Security: Owners are responsible for the security of their digital wallets. Loss of private keys or wallet compromise could result in permanent loss of ownership NFTs, for which Amantius cannot be held responsible.
  • Platform Technology Risk: System failures, cyber attacks, or data breaches on the Amantius platform could temporarily or permanently affect access to your account, distributions, or ownership records.
  • Technology Obsolescence: The blockchain or token standard used by Amantius may become obsolete, requiring migration to alternative infrastructure.

Concentration Risk

Investing a significant proportion of your wealth in a single property, a single asset class (real estate), or a single geographic market (Dubai / UAE) exposes you to concentration risk. A downturn affecting that specific property, sector, or location could have a disproportionate impact on your overall financial position.

  • Amantius recommends that real estate investment forms only a portion of a diversified investment portfolio.
  • You should consider your total exposure to real estate, to emerging markets, and to illiquid assets when determining what proportion, if any, to invest through the Amantius platform.
  • Individual property risks — such as structural defects, prolonged vacancy, or legal disputes — can affect a single investment disproportionately.

Any historical returns, occupancy rates, yield figures, or capital appreciation data presented on the Amantius Platform — whether for specific properties or the Dubai real estate market generally — refer to historical performance and do not guarantee equivalent future performance. Market conditions change, and future results may be materially worse than historical outcomes. You should not base your investment decision primarily on historical performance data.
